Terms of Service

1. Who you're contracting with

Nila is operated by Ask Nila Solutions Limited, a company incorporated in British Columbia, Canada, trading as "Ask Nila" ("Ask Nila," "we," "us," "our"). By creating an account or otherwise using the Nila website, community, and related services (the "Service"), you agree to these Terms of Service.

2. Acceptance

By continuing to use the Service, you confirm you have read, understood, and agreed to these terms. If you don't agree, please don't use Nila. If you're using the Service on behalf of an organization, you confirm you have authority to bind it. You must be at least 18 years of age to create an account, regardless of the age of majority in your jurisdiction.

3. What Nila is (and isn't)

Nila is a peer community and educational resource for people moving through perimenopause and menopause, naturally, surgically, or medically induced. It is not medical advice, diagnosis, or treatment. See our full disclaimer for details.

4. Your account

You're responsible for keeping your login credentials confidential and for all activity under your account. Please provide accurate information and keep it up to date. Notify us promptly if you suspect unauthorized access.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • Use Nila for any unlawful, fraudulent, or harmful purpose;
  • Post spam, harassment, hate speech, or content that violates others' rights;
  • Infringe anyone's intellectual property or privacy;
  • Probe, scan, scrape, or otherwise interfere with the security or integrity of the Service, or distribute malware;
  • Impersonate another person or misrepresent your affiliation;
  • Reverse engineer, resell, redistribute, or circumvent technical limits.

6. Member content

You retain ownership of the content you post. You grant Nila a worldwide, non-exclusive, royalty-free license to host, display, and process your content solely to operate and improve the Service. You're responsible for what you post and confirm you have the rights to share it.

No medical advice from members. Posts, comments, kudos, and other contributions from Nila members reflect personal experience only. They are not medical advice and Nila does not verify, endorse, or take responsibility for member content. If member content concerns you, please report it in-product or email hello@asknila.com. We may remove content or accounts at our discretion in line with our community guidelines.

Copyright and DMCA. If you believe content on Nila infringes your copyright, send a written notice to hello@asknila.com with: (a) your contact details, (b) identification of the work, (c) the URL of the allegedly infringing material, (d) a statement that you have a good-faith belief the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act, and (f) your physical or electronic signature. We respond to valid notices and may remove the content and/or terminate repeat infringers.

6a. Practitioner directory

Nila's practitioner directory is informational only. Listed practitioners are independent professionals, not employees or agents of Nila. We do not verify, supervise, or guarantee any practitioner's licensure, qualifications, conduct, fees, availability, or fitness for your needs, even where a "Featured" badge appears (which indicates a paid placement, not an endorsement). You are solely responsible for choosing, engaging, and paying any practitioner, and any care relationship is strictly between you and that practitioner. To the fullest extent permitted by law, Nila is not liable for the acts, omissions, advice, or services of any listed practitioner.

6b. Movement, mindfulness, and assumption of risk

Workouts, stretches, breathwork, mindfulness, and somatic practices on Nila are general educational content, not personalized programming. They may not be suitable for everyone, particularly if you have cardiovascular, musculoskeletal, neurological, pregnancy-related, post-surgical, eating-disorder, or mental-health conditions, or are taking medication that affects your physical or psychological response. You agree to consult a qualified doctor or specialist before starting any new physical or contemplative practice on Nila and to stop immediately if anything hurts, feels unsafe, or triggers distress. You voluntarily assume the ordinary risks of physical activity and contemplative practice when using these features. To the fullest extent permitted by law, you release Nila from claims for injury, aggravation of an existing condition, or psychological distress arising from your use of this content, except where caused by our gross negligence or wilful misconduct.

6c. Not a health record

Nila is a wellbeing and education platform. It is not an electronic medical record, prescription system, or regulated health-information custodian, and Nila is not a "covered entity" under the US Health Insurance Portability and Accountability Act (HIPAA), a "health information custodian" under Ontario's PHIPA, or an equivalent designation in other jurisdictions.

Symptom logs, check-ins, journals, mood entries, and similar data are stored to help you reflect, not as an official clinical record.

Please keep your own copies of anything you may need for medical or legal purposes and share relevant information with your clinical team.

7. Our intellectual property

Nila, its software, content, branding, and design are owned by Ask Nila Solutions Limited or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these terms and your selected plan.

8. Premium subscriptions and payments

Nila Premium is sold on a recurring monthly or yearly basis directly by Ask Nila Solutions Limited. We are the merchant of record for all Premium subscriptions. Payments are securely processed by Stripe, Inc. on our behalf; we never see or store your full payment-card details. Premium prices are listed in Canadian dollars (CAD). Applicable Canadian sales taxes, GST, HST, PST or QST, depending on your province of residence, are calculated automatically by Stripe and added to the price shown on this site. The final total, including any tax, is displayed on the Stripe checkout page before you confirm payment, and itemized on the receipt Stripe emails you. Members outside Canada are charged in CAD; their bank handles the currency conversion and no Canadian sales tax is added.

Subscriptions automatically renew at the end of each billing period (monthly or yearly) at the then-current price unless you cancel before the renewal date. For yearly plans, we will send a reminder email to the address on your account at least 14 days before each annual renewal, in line with British Columbia's Business Practices and Consumer Protection Act. You can cancel at any time from your account; access continues until the end of the current paid period. See Refunds and cancellations below for full refund details.

8b. Refunds and cancellations

14-day money-back guarantee. If Nila Premium isn't right for you, request a full refund within 14 days of your purchase, no awkward questions. Refunds include any Canadian sales tax (GST, HST, PST or QST) we collected on the original charge; Stripe returns the full amount, tax included, to your original payment method.

How to request. Email hello@asknila.com from the address on your account, with the subject line "Refund request", and include the date of your last charge so we can find the order quickly. We aim to reply within 2 business days and process approved refunds within 5 to 10 business days.

Depending on your bank, the credit can take a few additional business days to appear on your statement.

Cancelling future renewals. Cancelling your subscription is separate from requesting a refund. You can cancel at any time from your account page. When you cancel, your Premium access continues until the end of the current paid period, then your account returns to Free.

After 14 days. Past the 14-day window, refunds are at our discretion and handled case by case. If something has gone wrong, a billing error, a technical issue, anything, please reach out and we'll make it right.

Fair use. The 14-day guarantee is offered in good faith. We reserve the right to decline refunds in cases of evident abuse, for example, repeat sign-up-and-refund cycles on the same account or payment method.

Statutory consumer rights. This refund policy is offered in addition to, not in place of, any rights you have as a consumer under the law of your province or country.

Nothing here limits rights you cannot waive by contract, including (for British Columbia residents) rights under the Business Practices and Consumer Protection Act and (for Quebec residents) rights under the Consumer Protection Act.

8a. AI-assisted features

Some parts of the Service use artificial intelligence to help you, including the Nila chat and the Premium "draft a letter for your GP" tool. AI responses are generated by third-party large language models, can be incomplete, out of date, or wrong, and are educational support, not medical advice, diagnosis, or a prescription. You're responsible for what you submit to AI features: don't paste another person's identifying information (full name, contact details, medical record) into the chat or letter tool, and don't rely on an AI-generated draft without reviewing it yourself before sending it to a doctor or specialist. We may rate-limit, suspend, or change AI features at any time. See our Privacy Notice for how AI inputs are processed.

9. Service level

We work hard to keep Nila available and useful, but we don't guarantee the Service will be uninterrupted, error-free, or always available. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, Nila's aggregate liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Nothing in these terms limits liability for fraud, death, or personal injury where the law does not allow it.

Statutory consumer rights. Nothing in these terms removes or limits any rights you have as a consumer under the law of your province or country that cannot be waived by contract.

This includes, for residents of British Columbia, rights under the Business Practices and Consumer Protection Act, and for residents of Quebec, rights under the Consumer Protection Act and Civil Code of Québec.

11. Indemnity

You agree to indemnify and hold Nila harmless from claims arising out of your content, your use of the Service, or your breach of these terms.

12. Suspension and termination

We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may close your account at any time. On termination, your right to use the Service ends; we may delete your data after a reasonable period in line with our Privacy Notice.

13. Changes to these terms

We may update these terms from time to time. If changes are material, we'll let you know via the Service or by email. Continued use after changes take effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. Disputes will be handled by the competent courts located in Victoria, British Columbia, unless mandatory consumer law in your place of residence grants you a different venue.

14a. Language

The Service and these terms are currently provided in English. If you reside in Quebec, by continuing to use the Service you confirm that you have requested that these terms and the Service be provided in English ("Les parties confirment leur volonté que cette convention, de même que tous les documents s'y rattachant, soient rédigés en anglais"). We are working toward a French version of our member-facing content.

15. Force majeure & assignment

Neither party is liable for delays caused by events beyond reasonable control. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
